McCluer North Band Booster Bylaws



ARTICLE I - NAME
As established in the organizing first meeting dated September 2, 2008, the name of
this organization shall be McCluer North Band Boosters. Updated May 5,2011
ARTICLE II - PURPOSE
This organization shall be operated as a non-profit organization exclusively for the
support of musical education, and as such, will support the following educational
purposes:
• To stimulate and sustain an enthusiastic interest among parents, band members,
student body, and members of the community;
· To promote fundraising and activity support, including but not limited to:
compet
ition meals, performance travel, and uniform and instrument
replacement/repair for the benefit of members of the McCluer North High School
Bands (MNHS);
·   To participate in any activity designed or conducted to promote the MNHS
Bands;
·  To accept donations of goods and services for the use and benefit of the MNHS
Bands and the Band Boosters.
·To cooperate with the Director of the Band Program in order to maintain the
highest possible degree of efficiency of the program.
ARTICLE III - MEMBERSHIP
Membership shall include individuals (band members, alumni, parent, or other
persons, etc) interested in the progress and development of the MNHS Bands.
Dues, if any
, shall be determined annually by the Executive Board.
Business Sponsorships, if any, shall be determined annually by the Executive Board.
ARTICLE IV - ADMINISTRATION
This organization shall be presided over by an Executive Board which is composed
of the elected officers and committee chairpersons. The Band Director shall serve a
s
ex-officio member of the organization.
• An ex-officio member is a member of a body (a board, committee, council,
etc) who is part of it by virtue of holding another office. Under the MNHS
Band Booster bylaws, ex-officio members hold the same rights as the other
Board members (can attend meetings, participate in discussions and have
voting privileges)
The elected officers shall serve 2-year terms (unless requirements below are no
longer met) and shall be: President; Vice-President; Secretary; Treasurer;
Historian. The Past-President may serve as an advisor with full privileges (can
attend meetings, participate in discussions and have voting privileges) for one year
immediately following the conclusion of the term served. Officers may serve
concurrent terms if so elected.
The election and duties of the officers are later described in Articles VII & VIII of
these Bylaws.
Any vacancy in an office shall be filled by the Vice-President until the Executive
Board appoints a successor.
A serving elected officer may be removed for cause from office by two-thirds
majority vote/quorum of the Executive Board or by three-fourths of membership.
• An Executive Board quorum shall consist of 50% of voting positions plus 1.
To be a MNHS Band Booster officer you must have a student currently active in the
MNHS Band program. Exception(s): I
.Should a person not having a student
currently active in the program desire to fill an officer position, a two-thirds vote of
approval by active Executive Board members is required.
Each office or committee shall have one vote.
Proxy voting is incompatible with the essential characteristics of a deliberative
assembly; therefore, proxy voting is not permitted during regular meetings but may
be used during Officer Elections as listed in Article VII.
• "proxy" is a means by which a member who expects to be absent from a
meeting authorizes someone else to act in his or her place at the meeting.
ARTICLE V - AUTHORITY
Robert's Rules of Order shall govern this organization when not in conflict with
these Bylaws.
ARTICLE VI - MEETINGS
The date and time of the general membership meetings shall be determined by the
Executive Board, but typically at monthly intervals. (6 meetings minimum)
The Executive Board may meet, as needed, prior to each scheduled general
membership meeting to discuss executive matters. Special Meetings may be called
by the President
.
Any voting member may request that a vote on any motion be tabled until the next
regularly scheduled meeting.
ARTICLE VII - ELECTIONS
Officer nominations for following school year will open at the general meeting in
April and continue thru the general meeting in May of current school year.

Candidates may not nominate themselves for any position.
Officer Elections shall be held at the general meeting in May. Nominated
candidates must be present at the May general meeting and must accept the
nomination.
Each MNHS Band Booster (general members & Executive Board members) shall be
given one vote.
·   Per Robert's Rules of Order re: the presiding President voting: "he or she
has exactly the same rights and privileges as all other members have,
including the right to make motions, speak in debate and to vote on all
questions. However, the impartiality required of the presiding officer of an
assembly (especially a large one) precludes exercising the right to make
motions or debate while presiding, and also requires refraining from voting
except (i) when the vote is by ballot, or (ii) whenever his or her vote will
affect the result."
Proxy voting is permitted during Officer Elections when all the following
condition(s) have been met.
• The member who is voting by proxy must be in good standing
·   Dues (if applicable) must be current
·   Must not be under suspension (see Article XI)
·     McCluer North Band Booster Proxy Form must be filled out and have the
signatures of two witnesses of two Booster members with good standing
·     To vote by proxy, you must have a reason, for example, you will be on
holiday or away due to work.
·     The deadline for applying to vote by proxy is normally 6 calendar days
before election. However, if you have a medical emergency 6 days before
Election Day, you can apply to vote by emergency proxy if the emergency
means that you cannot go to the election in person. Proxies must be
received NL T 2 hours before elections begin.
·   Proxies must be in a sealed envelope, given to current President no later
than start of meeting at which election takes place. The President
acknowledges proxy with his/her signature/date/time.
Officers shall serve from June 1 thru May 31 st of the second year
ARTICLE VIII - DUTIES OF OFFICERS AND COMMITTEES
President:
·   Call and preside at all meetings of the general membership and Executive
Board and shall be an ex-officio member of all committees.
·   Appoint committee chairpersons
·   Shall coordinate the work of the Executive Board and all other committees.
·   Shall receive regular reports on the activities of the committees and the
bands.

Vice-President:
·   Preside at meetings in President's absence.
·   Preside over the Fundraising Committee
·   Carry out duties as assigned by the President.
Secretary:
·   Take minutes of the Executive Board and general membership meetings to
distribute to membership.
·   Maintains membership records
·   Attends to correspondence as assigned by President.
·   Shall maintain copies of the By-Laws at all meetings and ensure all
proceedings are executed in compliance with those managing documents.
Treasurer:
·   Shall receive all monies accruing to the Organization and shall deposit
same in the approved depository under the name of the McCluer North
Band Boosters.
·   Shall keep an accurate record of all receipts and disbursements, showing
each activity separately, as well as a complete record of all funds.
·    Shall keep checking account; authorized signatures to be those of the
President, Vice President and Treasurer.
·    Treasure's records shall be audited at the discretion of the Executive
Board.
·     Shall provide an annual report at the May general meeting; reflecting
business as of April 30
th
·     Shall provides a Fiscal-Year-End report to incoming Treasurer at
beginning of new term, on or before July 1
.
Historian:
·   Maintains historical record of Band Booster events. (This record may be
in the form of a scrapbook, a CD, or other such record as new technology
becomes available.)
·   Responsible for maintaining and updating a band webpage, should it exist.
Past- President:
• Serves as an advisor in support of the current Executive Board.
Fundraising Committee:
• Coordinates all fund raising activities of the MNHS Band Boosters.
Help Committee:
· Coordinates support to band and equipment movement during
performances, competitions, or other activities in which assistance is
needed. Provides meals and beverages to band members and Band Director
as appropriate during activities.

ARTICLE IX - FINANCES
The President, after consultation with the Band Director, will submit a budget for
the following school year to the Executive Board for approval
prior to the May
meeting(s). Budget shall be presented to general members for approval at the June
meeting.
Approval of the Executive Board shall be required for the disbursement of any
Organizational Funds.
An annual information return will be filed with the State and Federal Governments
by the Organization's Treasurer after the end of the Organization's accounting
period. As necessary, filings will be done with the State of Missouri as directed by
the tax code and other laws of the State of Missouri
.
ARTICLE X - AMENDMENTS
The MNHS Band Booster By-Laws may be amended by a two-thirds majority vote
of the membership present. Amendments to the By-Laws may not be voted on at the
same meeting when they are presented to the membership. The general membership
may discuss the amendment and a grace period lasting until the next regularly
scheduled meeting before a vote may occur. By-Laws should be reviewed every
three years minimum.
ARTICLE XI - DISSOLUTION
a.       If at any time the MNHS Band Director(s) feel that the actions of any
individual members or Officers of the Band Boosters or the Band Boosters
Organization as a whole are being conducted contrary to the best interests of
the Band Program or students of McCluer North High School, the Band
Director may place any individuals or the organization as a whole on
suspension. The terms of the suspensions shall be provided in writing to those
persons or to the Organization at least 30 days prior to the suspension
commencing. The terms of suspension shall include a period of not less than
one (1) month and not greater than three (3) months and a detailed list of the
actions that need to be taken in order to lift the suspension. During
suspension, members may not attend meetings or volunteer for any MNBB
activity.
b. If an individual is placed on suspension three or more times for the same
infractions, the Band Director may recommend removing that person from
office or membership. A motion for dismissal from participating members at
general meeting must pass with a three-fourth majority vote.
c.       Following the suspension as stated in Article XI, Paragraph a, the Band
Director may recommend to disband the Band Boosters Organization if it is
determined that actions of the Organization are detrimental to the welfare
and well-being of the Band Program. The organization shall be notified in
writing of the actions taken by the Band Director(s). Such notifications shall
be given at least 30 days prior to the action. A motion for dismissal from
participating members at general meeting must pass with a three-fourth
majority vote.
d.      If at any time the general membership of the Band Booster Organization
feels the direction of the group is contrary to the best interests of the
students, the Director(s) or the band program, any member may make a
motion for the dissolution of a member, Officer, or the Organization as a
whole. The same procedures as outlined for administration dissolution shall
take place (e.g.: a period of suspension must be established with a clear plan
for reconciliation). A motion for dismissal from participating members at
general meeting must pass with a three-fourth majority vote.
e.       Upon dissolution, all assets of the MNHS Band Boosters shall be liquidated
and funds shall be expended by the McCluer North High School in
accordance with the purposes of the organization for the benefit of the
MNHS Bands, until all such funds shall be expended.
